Client Retainer Agreement Checklist
Identification of Parties
Clearly identify the client by full name and address.
Specify the law firm, including the names of the attorney(s) who will primarily handle the matter.
Establish the contact information for both client and firm for official communications.
Scope of Representation
Define the specific legal services to be provided.
Clarify any limitations to the scope of the representation.
Detail the objectives of the representation or the expected outcomes.
Financial Terms
Outline the fee structure, including hourly rates, flat fees, or contingency fees.
Describe any retainers, advanced fees, or deposits required before services begin.
Provide a detailed explanation of costs and expenses that the client will be responsible for.
Billing and Payment
Explain the billing process, including frequency and itemized statements.
Specify acceptable methods of payment and any payment plans available.
Include consequences of non-payment or late payment, like interest charges or cessation of work.
Duration of Agreement
State the effective date of the retainer agreement.
Explain how long the agreement remains in effect and under what circumstances it can be terminated.
Detail the process for termination by either party.
Confidentiality and Communication
Assure the client of the confidentiality of the information provided.
Set expectations for how and when the client will be updated on the status of their matter.
Establish preferred methods and times for client communication.
Dispute Resolution
Include a clause that outlines how any disputes between the client and the firm will be resolved.
State whether arbitration or mediation will be used before any litigation.
Clarify the jurisdiction and venue for resolving disputes.
Acknowledgment of Understanding
Ensure that a clause is included for the client to acknowledge they understand the terms.
Provide space for the client to ask questions and receive satisfactory answers before signing.
Include a statement that the client is not under any duress to sign and is doing so voluntarily.
